Referral Program Terms and Conditions

PLEASE NOTE THAT THE MILL TERMS OF SERVICE (“STANDARD TERMS”) AND PRIVACY POLICY APPLY TO YOUR PARTICIPATION IN THE REFERRAL PROGRAM AS WELL. THESE REFERRAL PROGRAM TERMS AND CONDITIONS (“REFERRAL TERMS”) SUPPLEMENT THE STANDARD TERMS AND PRIVACY POLICY AND APPLY TO YOUR PARTICIPATION IN THE REFERRAL PROGRAM. WE MAY USE ANY INFORMATION YOU PROVIDE US IN CONNECTION WITH THIS REFERRAL PROGRAM IN ACCORDANCE WITH OUR PRIVACY POLICY.

By participating in our Referral Program, you agree to the following:

1. Referral Program Summary. The Mill referral program (“Referral Program”) allows an existing Mill purchaser (excluding existing bin renters) (“Referrer”), the opportunity to earn credits that can be applied toward future Mill payments (“Referral Credits”) by referring others to become new Mill customers (each a “Referred Customer”), and for the Referred Customer to earn credits that can be applied toward future Mill payments by using a valid referral link when purchasing a Mill food recycler.
2. Earning Referral Credits. The Referred Customer must sign up using the unique URL link provided to them by Referrer (“Referral Link”), which we will provide via email. Eligible Referrers and Referred Customers can earn Referral Credits if all of the following conditions are satisfied: (i) a Referred Customer clicks the Referrer’s Referral Link then, on the landing page generated by clicking the Referral Link, the Referred Customer purchases a Mill food recycler in compliance with these Referral Terms; (ii) the Referred Customer is eligible according to to the eligibility requirements set forth in Section 3 (below) of these Referral Terms; (iii) the Referred Customer remains an active Mill customer for at least 3 months; (iv) the Referrer has not accrued more than six hundred dollars (US$600.00) in Referral Credits in a calendar year, and is an active Mill customer and is in compliance with the Standard Terms at the time the Referred Customer purchases a Mill food recycler (collectively, the “Referral Criteria”). The Referrer and Referred Customer will be credited with the amount of Referral Credits specified in the referral invitation and/or accompanying promotional materials only after all of the Referral Criteria have been satisfied; if no amount is stated in such materials or otherwise communicated to you, the Referrer and Referred Customer will each receive the amount of Referral Credits stated in the applicable referral offer. If a Referred Customer receives Referral Links from multiple Referrers, only the Referred Customer and the Referrer associated with the Referral Link actually used by the Referred Customer will receive Referral Credits. Once a Referrer has earned six hundred dollars (US$600.00) in Referral Credits, any additional referrals will not satisfy the Referral Criteria and additional Referral Credits will not be granted.
3. Referred Customer Eligibility. To be eligible to be a Referred Customer and satisfy the Referral Criteria, the referred customer must be:
   1. At least 18 years of age;
   2. Residing in the contiguous United States;
   3. Eligible to purchase a Mill food recycler pursuant to our Standard Terms;
   4. A new customer who does not have, and has never had, an existing Mill account, and who has not previously owned a Mill food recycler;
   5. An eligible customer according to any additional terms disclosed to you in the promotional offer.
4. Redeeming Referral Credits. Unless otherwise specified in a referral invitation and/or accompanying promotional materials we send you, any Referral Credits you earn will automatically be applied to the balance of your Mill account, and each Referral Credit will offset the amount due by One Dollar (US$1), up to the total amount owed for such payment. Alternatively, for any Referral Credits earned on or after September 1, 2024, you can elect to redeem your Referral Credits for a merchant gift card (for example, Amazon, Instacart, or DoorDash) at a rate of Fifty Dollars (US$50) per One Hundred Dollars (US$100) of Referral Credits by visiting mill.com/lp/referral-rewards.

If your payment is later refunded for any reason, the maximum refund you may receive is the amount you actually paid (excluding any Referral Credits). Except to the extent required by applicable law, Referral Credits are not redeemable for cash, are non-transferable, non-refundable, and may not be used for any purpose besides those set forth herein or as otherwise specified by Mill. Merchant gift cards are subject to their applicable terms and conditions. Mill will not replace lost, stolen, or destroyed gift cards or cards used without permission; risk of loss and title of gift cards passes to you upon electronic transmission to the email address you provided to Mill. Void where restricted or prohibited by law.

1. Sharing Referral Links. You agree to comply with all applicable laws, including, but not limited to, spam marketing laws, and may not use (i) mass emailing, (ii) deal aggregator or other commercial websites, or (iii) texting or calling to unknown individuals, emails, or telephone numbers to distribute any Referral Link(s). We reserve the right to deactivate or invalidate any Referral Credits obtained through these channels, and to charge your payment method for any amounts paid for with deactivated or invalidated Credits.
2. Termination and Changes. We may, in our sole discretion, modify, suspend or terminate the Referral Program, these Referral Terms, or your ability to participate in the Referral Program at any time without prior notice. Any modification to the Referral Program will be effective when posted to our website or app, and failure to contact our Support team within 48 hours of the posting of such notice shall constitute consent to such modification.
